General Terms and Conditions of Membership – Fit Net Gym Network

These General Terms and Conditions of Membership ("Agreement") govern access to the Fit Net gym network ("Network") and the provision of services between JUMATIC, S.A., with registered office at Edifício The Tower, Rua do Silval, 37, Sala 1.4, 2780-373 Oeiras, Portugal, company number 518082229 ("Fit Net"), and the individuals who, upon entering into this Agreement, accept these Terms ("Members").

1. Purpose

This Agreement governs Members' access to the Fit Net digital platform ("Fit Net App"), the gyms within the Network, and all services made available through both the App and the gyms, including any loyalty programmes in force at any given time.

Subscription to this Agreement constitutes simultaneous enrolment in both the Fit Net App and the Network.

2. Fit Net App

Each Member must accept the Fit Net App terms and conditions in order to access and use its digital content and to gain entry to the Network's gyms.

Fit Net reserves the right to amend the App's content and terms at any time. Members will be notified upon first access following such changes and will be invited to accept the updated terms, which shall take effect from the first day of the following month.

Members are responsible for ensuring they have suitable equipment to access the App.

3. Membership

Membership is granted to natural persons who enter into this Agreement.

Execution of this Agreement implies acceptance of the Fit Net Gym Regulations, which form an integral part hereof as Annex I.

Membership is open to:

• Individuals aged 18 and over;
• Minors aged 14 and above, subject to authorisation from their legal representative.

For minors under 18 (and not legally emancipated), membership must be requested by a legal guardian.

Minors may only access gym facilities with prior written authorisation from their legal representative, in a format approved by Fit Net.

4. Membership Types

Two membership options are available:

a) All Net Membership

Provides full access to the entire gym network and the Fit Net App for the duration of a monthly subscription.

• Duration: 30 days
• Renewal: Automatic and successive for equal periods

b) Single Visit

Grants one-time access to the gym network and App on the day of purchase, during opening hours.

• Duration: 1 hour and 30 minutes
• May end earlier if initiated close to closing time

Right of Withdrawal

Members may withdraw from the Agreement within 14 days, without providing justification, by written notice to: geral@gest.fitnetgyms.com

However, use of the Network within this 14-day period constitutes an express waiver of the right of withdrawal.

5. Access to the Network

5.1 Members will be provided with a digital access card via the Fit Net App, which must be presented upon request.

5.2 Access is strictly personal, individual, and non-transferable.

5.3 In the event of loss or device failure, Members are responsible for restoring access at their own expense.

5.4 Misuse of access rights entitles Fit Net to terminate the Agreement immediately, retaining all amounts paid.

6. Payments

Members agree to pay:

• A joining fee
• A single-use fee or monthly subscription (depending on membership type)

Payments are made via direct debit or other methods defined by Fit Net.

Cancellation of payment instructions with the bank does not release the Member from payment obligations.

Prices may be updated annually at the start of each calendar year, with at least one month's prior notice.

If a direct debit fails due to bank or Member-related reasons, a €1.00 return fee will apply per failed transaction.

If a missed payment is subsequently regularised alongside a successful direct debit, the duplicate payment will either be refunded or credited to the following month, as selected by the Member via the App.

In the event of non-payment, access to services may be suspended, and Fit Net reserves the right to pursue all available means to recover outstanding amounts.

7. Member Rights and Obligations

Rights

• Access to gyms in accordance with the chosen membership and operating hours
• Use of contracted services and activities via the App

Obligations

Members must:

• Provide accurate information at all stages of the contractual relationship
• Ensure they are physically fit to undertake exercise
• Comply with gym regulations
• Follow staff instructions and recommendations
• Make timely payments
• Fulfil all contractual obligations

Failure to comply may result in immediate termination of the Agreement.

8. Termination

Members may cancel the Agreement at any time via the Fit Net App, with effect at the end of the current billing period.

Failure to pay results in suspension for 30 days. If unresolved, the Agreement will automatically terminate without further notice.

9. Personal Data

Personal data provided during registration will be processed by Fit Net in compliance with the General Data Protection Regulation (GDPR) and in accordance with the Fit Net Privacy Policy available at www.fitnetgyms.com.

Data is processed for: contract management, billing, customer communication, and marketing and related services.

Members have the right to: Access, Rectification, Erasure, Restriction, Portability, and Objection (including direct marketing).

10. General Provisions

In the event of gym closure due to force majeure or administrative order lasting more than 8 days, Members will be charged 50% of the monthly fee during the closure period.

Scheduled maintenance of the App shall not be considered a breach of contract.

Force majeure includes events such as: natural disasters, pandemics, war or terrorism, strikes, infrastructure failures, and cyberattacks.

All communications between the parties shall be conducted via the Fit Net App.

11. Governing Law and Jurisdiction

This Agreement is governed by Portuguese law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon.

12. Declaration

The Member (and the party responsible for payment) confirms that:

• They have read and understood these Terms
• The Terms have been explained prior to agreement
• They fully accept all conditions herein
